1. Introduction

These Terms of Service ("Terms") govern your access to and use of OnTarget Studio ("the Service"), operated by OnTarget Creators Ltd ("OnTarget Creators", "we", "us", "our"), a New Zealand company.

By clicking "Create Account" or by accessing and using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.


2. The Service

OnTarget Studio is an AI-powered platform that helps YouTube content creators generate scripts, titles, descriptions, competitor analyses, channel strategies, and audio content.

The Service uses artificial intelligence from multiple providers to generate content on your behalf. AI-generated content is provided as a starting point and creative tool — you are responsible for reviewing, editing, and verifying all content before use.


3. Eligibility

To use OnTarget Studio, you must:

  • Be at least 16 years old
  • Have a valid Google or Microsoft account
  • Provide accurate and complete information
  • Not use the Service for any unlawful purpose

By creating an account, you represent and warrant that you are 16 years of age or older.

We do not knowingly collect personal information from anyone under 16 years of age. If we discover that someone under 16 has created an account, we will delete it promptly.


4. Your Account

4.1 Registration

You register using Google OAuth or Microsoft OAuth. You are responsible for maintaining the security of the account linked to your OAuth provider.

4.2 Account Security

You must:

  • Keep your OAuth account secure
  • Notify us immediately if you suspect unauthorized access
  • Not share your account with others

We are not liable for any loss resulting from unauthorized use of your account.

4.3 Account Termination

You may delete your account at any time. We may suspend or terminate your account if you:

  • Violate these Terms
  • Abuse the credit system or rate limits
  • Use the Service to generate harmful, illegal, or deceptive content
  • Engage in any activity that threatens the security or integrity of the Service

Upon termination, the following sections survive: Section 7 (Intellectual Property), Section 8 (Copyright and DMCA), Section 9 (AI Disclaimer), Section 12 (Limitation of Liability), Section 13 (Indemnification), Section 14 (Dispute Resolution), and Section 15 (General Provisions).


5. Credits and Payment

5.1 Credit System

OnTarget Studio operates on a credit-based system. Features consume credits as follows:

Some features are free and unlimited: Outlier Chat (Archer), channel name generation, and title descriptions.

Credit costs may change. We will notify you before any credit cost increases take effect.

5.2 Subscription Tiers

5.3 Payment

Payments are processed by Stripe. By subscribing to a paid plan, you agree to:

  • Pay the subscription fee at the agreed interval
  • Stripe's terms of service for payment processing
  • Automatic renewal of your subscription unless you cancel

5.4 Refunds and Cancellations

  • You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
  • Unused credits do not roll over and are not refundable.
  • Refund Policy: Refunds are available within 14 days of initial purchase if you have not substantially used the Service (fewer than 20% of credits consumed). After 14 days, or after substantial use, refunds are at our discretion.
  • EU Users -- Right of Withdrawal: Under the EU Consumer Rights Directive (2011/83/EU), you have a 14-day right of withdrawal from the date of purchase. By subscribing and requesting immediate access to the Service, you expressly consent to the commencement of performance during the withdrawal period and acknowledge that you lose your right of withdrawal once you have consumed credits. If no credits have been consumed within 14 days, you are entitled to a full refund.
  • Australian Users: Nothing in this refund policy excludes, restricts, or modifies consumer guarantees under the Australian Consumer Law. If the Service has a major failure, you are entitled to a refund.
  • Founding member spots are non-transferable. If you cancel, your spot may be released to the next person on the waitlist.

5.5 Price Changes

We may change subscription prices with 30 days' written notice (via email). Price changes apply to the next billing cycle after the notice period. If you do not agree to the new price, you may cancel before the next billing cycle.


6. Acceptable Use

You agree not to use OnTarget Studio to:

  • Generate content that is illegal, defamatory, harassing, threatening, or obscene
  • Generate content that infringes third-party intellectual property rights
  • Generate content that promotes violence, discrimination, or hatred
  • Impersonate any person or entity
  • Create misleading or deceptive content designed to manipulate viewers
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Circumvent rate limits, credit systems, or other technical restrictions
  • Create multiple accounts to exploit free credits or free features
  • Use automated tools (bots, scrapers) to access the Service without our written permission
  • Introduce malware, viruses, or other harmful code
  • Overwhelm the Service with excessive requests (denial of service)
  • Share personal information of others in the Outlier Chat or any other feature
  • Use the Service in any way that violates applicable laws or regulations

We reserve the right to remove content and suspend accounts that violate these Terms, without prior notice if the violation is severe.


7. Intellectual Property

7.1 Your Content

You retain ownership of all content you input into the Service (topics, context, chat messages, channel data). By submitting content to OnTarget Studio, you grant OnTarget Creators Ltd a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your content solely for the purpose of operating and providing the Service to you, including transmitting your content to third-party AI providers for processing as described in our Privacy Policy. This license terminates when you delete your content or account.

7.2 AI-Generated Content

Content generated by our AI tools (scripts, titles, descriptions, analyses, audio) is yours to use, modify, and publish without restriction, subject to:

  • The AI-generated content may be similar to content generated for other users who provide similar inputs. We do not guarantee uniqueness.
  • You are responsible for reviewing AI-generated content before publishing. You accept full responsibility for any content you publish based on our AI outputs.
  • AI-generated content may contain inaccuracies, errors, or inappropriate material. Always review and edit before use.

7.3 Our Intellectual Property

The Service itself — including its design, software, algorithms, branding, and documentation — is owned by OnTarget Creators Ltd. These Terms do not grant you any rights to our intellectual property beyond the right to use the Service as intended.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve the Service. You will not be compensated for feedback.


8. Copyright and DMCA

8.1 Respect for Intellectual Property

We respect the intellectual property rights of others and expect our users to do the same.

8.2 DMCA Takedown Procedure

If you believe that content on OnTarget Studio infringes your copyright, you may submit a notification under the Digital Millennium Copyright Act (17 U.S.C. Section 512) to:

Your notice must include:

  1. Identification of the copyrighted work claimed to have been infringed
  2. Identification of the infringing material and its location on the Service
  3. Your contact information (name, address, telephone number, email)
  4. A statement of good faith belief that the use is not authorized
  5. A statement under penalty of perjury that the information is accurate and you are authorized to act
  6. Your physical or electronic signature

8.3 Counter-Notification

If you believe your content was removed in error, you may submit a counter-notification with your identification, a statement under penalty of perjury, consent to jurisdiction, and your signature.

8.4 Repeat Infringer Policy

We will terminate the accounts of users who are repeat copyright infringers.


9. AI Disclaimer

OnTarget Studio uses artificial intelligence to generate content. You acknowledge that:

  • AI can make mistakes. Generated content may contain factual errors, inaccuracies, or inappropriate material.
  • AI output is not professional advice. Scripts, strategies, analyses, and recommendations are creative tools, not professional, legal, financial, or marketing advice.
  • You are responsible for what you publish. Always review, fact-check, and edit AI-generated content before publishing on YouTube or any other platform.
  • Results are not guaranteed. We cannot guarantee that using our AI tools will increase your views, subscribers, or revenue.
  • AI providers may change. We may change the AI providers powering our features at any time to improve quality, reduce costs, or comply with regulations.

10. Third-Party Services

OnTarget Studio integrates with third-party services. Your use of these services is subject to their respective terms:

  • Google: Google Terms of Service (sign-in, Gemini AI, YouTube Data API, YouTube Analytics API)
  • Microsoft: Microsoft Services Agreement (sign-in)
  • Perplexity AI: Perplexity Terms of Service (web research for script generation)
  • Anthropic: Anthropic Terms of Service (script generation via Claude API)
  • OpenAI: OpenAI Terms of Use (title generation, text-to-speech audio)
  • DeepSeek: DeepSeek Terms of Service (competitor analysis, channel names, title descriptions, Outlier Chat)
  • Inworld AI: Inworld AI Terms of Service (audio/voice generation)
  • Apify: Apify Terms of Use (YouTube transcript extraction)
  • Stripe: Stripe Services Agreement (payments)
  • YouTube: YouTube Terms of Service (public data used in competitor analysis)

We are not responsible for the availability, accuracy, or practices of third-party services.


11. Availability and Modifications

11.1 Service Availability

We strive to keep OnTarget Studio available 24/7, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide notice when possible)
  • Unscheduled downtime (infrastructure issues, third-party outages)
  • Force majeure events

11.2 Modifications

We may modify, update, or discontinue features of the Service at any time. For material changes that affect your use:

  • We will provide 30 days' notice for removal of paid features
  • We will provide reasonable notice for changes to free features
  • If a material change significantly reduces the value of your paid subscription, you may cancel and receive a prorated refund

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • We do not warrant that the Service will be error-free, uninterrupted, or that AI-generated content will be accurate, complete, or suitable for any purpose.
  • Our total liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profit, data, or business opportunities.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including:

  • Liability for death or personal injury caused by negligence
  • Liability for fraud or fraudulent misrepresentation
  • Consumer guarantees under the New Zealand Consumer Guarantees Act 1993
  • Consumer guarantees under Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010)
  • Consumer rights under the UK Consumer Rights Act 2015

13. Indemnification

You agree to indemnify and hold harmless OnTarget Creators, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Content you publish based on AI-generated outputs
  • Your violation of any third-party rights

This indemnification obligation does not apply to the extent it would be considered an unfair contract term under the EU Unfair Contract Terms Directive (93/13/EEC) or would contravene the Australian Consumer Law.


14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@ontargetcreators.com and attempt to resolve the matter informally within 30 days.

14.2 Governing Law

These Terms are governed by the laws of New Zealand, without regard to conflict of law provisions.

14.3 Jurisdiction

Any disputes that cannot be resolved informally will be submitted to the courts of New Zealand. However:

  • EU users retain the right to bring proceedings in their local courts under EU consumer protection law.
  • EU users may also submit complaints through the EU Online Dispute Resolution Platform at https://ec.europa.eu/consumers/odr.
  • UK users retain the right to bring proceedings in their local courts under UK consumer protection law and the Consumer Rights Act 2015.
  • US users retain any mandatory arbitration rights or class action protections provided by their state of residence.
  • Australian users retain any mandatory consumer protection rights under Australian Consumer Law.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and OnTarget Creators regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment

We may assign these Terms to a successor entity in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these Terms.

15.5 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, government actions, internet outages, or third-party service failures.


16. Changes to These Terms

We may update these Terms from time to time. When we make material changes:

  • We will update the "Last Updated" date
  • We will notify you by email or through an in-app notification at least 30 days before changes take effect
  • Your continued use of the Service after the effective date constitutes acceptance of the updated Terms
  • If you do not agree to the updated Terms, you may delete your account before they take effect
